Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Unpile mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Unpile ("we," "us," or "our"). We may update these Terms from time to time, and your continued use of the App following any changes constitutes acceptance of those changes.

2. Description of Service

Unpile is a mobile application designed for resellers to:

• Scan and photograph inventory items
• Use AI-powered features to identify and catalog items
• Manage inventory with detailed information including pricing, sizing, and descriptions
• Generate listings for third-party selling platforms
• Track inventory status and sales

The App is intended for personal and small business use by individuals who resell items on platforms such as eBay, Depop, Poshmark, Grailed, and similar marketplaces.

3. User Accounts

3.1 Registration

To use certain features of the App, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and update your information to keep it accurate and current
• Be at least 13 years of age (or the minimum age in your jurisdiction)

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

3.3 One Account Per Person

Each person may maintain only one account. Creating multiple accounts may result in termination of all associated accounts.

4. User Responsibilities

4.1 Lawful Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You must not:

• Use the App to list or sell counterfeit, stolen, or illegal items
• Violate any applicable local, state, national, or international law
• Infringe upon the rights of others, including intellectual property rights

4.2 Accurate Information

You are solely responsible for the accuracy of information you enter into the App, including item descriptions, pricing, and condition details. Unpile does not verify the accuracy of user-provided information.

4.3 AI Feature Usage

When using AI-powered features (such as item identification and description generation):

• You acknowledge that AI suggestions are not guaranteed to be accurate
• You are responsible for reviewing and verifying all AI-generated content before using it
• You must not use AI features to generate misleading or fraudulent listings
• You must not attempt to manipulate or exploit AI features

4.4 Third-Party Platform Compliance

When using Unpile to create listings for third-party platforms (eBay, Depop, Poshmark, Grailed, etc.), you agree to:

• Comply with the terms of service of each platform
• Follow all platform-specific listing guidelines and policies
• Understand that Unpile is not affiliated with these platforms
• Accept responsibility for any violations on third-party platforms

5. Subscription and Payments

5.1 Subscription Management

Unpile offers subscription-based premium features. Subscriptions are:

• Managed through the Apple App Store (iOS) or Google Play Store (Android)
• Processed by RevenueCat, our subscription management provider
• Billed according to the terms displayed at the time of purchase

5.2 Auto-Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage or cancel your subscription through your device's app store settings.

5.3 Refunds

Refund requests are handled according to the policies of the Apple App Store or Google Play Store, as applicable. We do not directly process refunds. Please contact the respective app store for refund inquiries.

5.4 Price Changes

We reserve the right to change subscription prices. Any price changes will be communicated in advance and will apply to subsequent billing periods.

6. Intellectual Property

6.1 Unpile's Ownership

The App, including its design, features, functionality, code, graphics, and content (excluding user-generated content), is owned by Unpile and protected by intellectual property laws. You may not:

• Copy, modify, or distribute the App or its components
• Reverse engineer, decompile, or disassemble the App
• Remove any copyright, trademark, or proprietary notices
• Use Unpile's name, logo, or branding without permission

6.2 Your Ownership of Data

You retain ownership of all inventory data, photos, descriptions, and other content you create or upload to the App ("User Content"). Unpile does not claim ownership of your User Content.

6.3 License to User Content

By using the App, you grant Unpile a limited, non-exclusive license to:

• Store and process your User Content to provide the App's services
• Create backups of your data for service continuity
• Use anonymized, aggregated data for service improvement (no personally identifiable information)

This license terminates when you delete your account or remove your content from the App.

7. Third-Party Services

7.1 AI Services

The App uses Google Gemini for AI-powered features including item identification and description generation. Use of these features is subject to Google's terms and privacy policies. For more information, see Google's Privacy Policy.

7.2 Third-Party Links and Platforms

The App may contain links to or integrations with third-party selling platforms (eBay, Depop, Poshmark, Grailed, etc.). These links and references are provided for convenience only and do not constitute:

• An endorsement of any third-party platform
• An affiliation or partnership with any third-party platform
• A warranty or guarantee of any third-party service

Your use of third-party platforms is subject to their respective terms of service.

7.3 Other Third-Party Services

The App also uses:

• Supabase for data storage and authentication
• RevenueCat for subscription management
• SerpApi for pricing data

Use of these services is governed by their respective terms and privacy policies.

8. Limitation of Liability

8.1 Service Provided "As Is"

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 No Warranty on AI Accuracy

We do not warrant that:

• AI-generated item identifications will be accurate or complete
• AI-generated descriptions will be suitable for any particular platform
• Pricing suggestions will reflect actual market value
• The App will be error-free or uninterrupted

8.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNPILE SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business opportunities, or goodwill
• Damages resulting from your use of or inability to use the App
• Damages resulting from unauthorized access to your account or data

In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the claim.

8.4 Data Loss

While we take reasonable measures to protect your data, we are not liable for data loss beyond implementing reasonable backup and recovery procedures. We recommend maintaining your own records of important inventory information.

9. Termination

9.1 Termination by You

You may delete your account at any time through the App's settings. Upon account deletion:

• Your access to the App will be immediately revoked
• Your data will be deleted in accordance with our Privacy Policy
• Active subscriptions must be cancelled separately through the app store

9.2 Termination by Unpile

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in fraudulent, illegal, or abusive behavior
• Create multiple accounts or share account access
• Attempt to exploit, hack, or interfere with the App

We will provide notice of termination when reasonably possible, except in cases of severe violations or legal requirements.

9.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. Sections of these Terms that by their nature should survive (including Intellectual Property, Limitation of Liability, and Governing Law) will remain in effect.

10. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date at the top of this page
• We may notify you through the App or via email for significant changes
• Your continued use of the App after changes constitutes acceptance

If you do not agree to the modified Terms, you should discontinue use of the App and delete your account.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the App shall be resolved in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Unpile regarding the App.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights and obligations without restriction.
